Terms of Service

The rules for using the OPTLYNX.app monthly plan (All Access). Please read them before you sign up.

Last updated: November 5, 2026

1. About these terms

  1. These terms set the conditions for using the monthly plan (the “Service”) that Optlynx Co., Ltd. (“Optlynx”) offers on OPTLYNX.app.
  2. By signing up for the Service, you (the “Subscriber”) agree to these terms.
  3. The Service is for business use, by companies and sole proprietors.

2. Definitions

  • “Covered Code”: the contents of each product’s GitHub repository that Optlynx makes readable through the Service, including source code, documentation and configuration files
  • “Subscription Period”: from sign-up until the subscription ends by cancellation or termination
  • “Polar”: the company that processes payments for the Service (polar.sh)

3. Sign-up

  1. The contract is formed when your first payment on Polar’s checkout is complete.
  2. One subscription covers one company (or one sole proprietor). Subsidiaries and group companies each need their own subscription.
  3. Optlynx may refuse a sign-up that contains false information, or from anyone who has breached these terms before.

4. Fees and payment

  1. The fee is the monthly price shown in the pricing section of OPTLYNX.app. Any tax that applies in your country is shown on the checkout page before you pay.
  2. You pay by credit card, Apple Pay or Google Pay through Polar. Your card details never reach Optlynx.
  3. The subscription renews automatically every month, and the next month’s fee is charged on the renewal date.
  4. If we change the fee, we will tell you at least 30 days in advance. The new fee applies from the following renewal date.

5. Repository access

  1. After paying, you connect your GitHub account on Polar. Optlynx then sends that account invitations to the Covered Code repositories automatically.
  2. Access is read-only. You cannot change anything in the repositories.
  3. Each subscription has one GitHub account for invitations. You must not share that account with anyone outside your company.
  4. Optlynx decides which products the Service includes. Products may be added or removed.

6. What you may do with the code

During the Subscription Period, you may:

  • Use and run the Covered Code inside your company, for as many of your own people as you like
  • Reshape the Covered Code freely to fit your company
  • Hire an outside developer to adapt it, sharing the code only for that work and under a confidentiality agreement

7. What you may not do

  • Offer the Covered Code, or anything built from it, to outside customers as a service or product (if you want to, you need a separate agreement with Optlynx)
  • Give, sell, lend or publish the Covered Code to anyone outside your company
  • Provide the Covered Code to outside parties as AI training data without Optlynx’s permission
  • Use the Optlynx name or any product’s name or logo
  • Share the invited account with anyone outside your company
  • Remove copyright or other rights notices from the Covered Code
  • Use it for any illegal purpose
  • Infringe the rights of Optlynx or anyone else

8. Ownership

  1. Copyright and all other rights in the Covered Code belong to Optlynx (or the original rights holders). The Service grants a permission to use it within Section 6; it does not transfer any rights.
  2. Rights in the changes you make yourself belong to you. Rights in the underlying Covered Code stay with Optlynx.
  3. The Covered Code may include third-party components distributed under their own terms, such as open-source licenses. Use those components under their own terms.

9. Confidentiality

Treat the Covered Code as confidential and do not disclose it outside your company beyond what these terms allow. This obligation continues after the subscription ends.

10. Cancellation

  1. You can cancel at any time on Polar.
  2. When you cancel, you lose read access to every repository at the end of the current period (the next renewal date). No further fees are charged.
  3. Fees for the remainder of a period are not refunded.
  4. After you cancel, you may keep using the versions of the Covered Code you obtained while subscribed, within these terms. New updates stop.

11. Termination by Optlynx

  1. If you breach these terms, fail to pay, or are found to be connected with organized crime, Optlynx may notify you, remove your access immediately and terminate the subscription.
  2. If your subscription is terminated under this section, Section 10.4 does not apply. You must stop using, and delete, the Covered Code and anything built from it.

12. No warranty

The Covered Code is provided as is. Optlynx does not guarantee that it works correctly, fits your purpose, is free of errors or defects, or does not infringe anyone’s rights. We do not offer one-to-one support.

13. Limitation of liability

  1. Optlynx is not liable for any loss arising from your use of the Service or the Covered Code.
  2. Where Optlynx is liable by law, its liability is capped at the total fees you paid in the three months before the loss occurred, except in cases of intent or gross negligence.

14. Changes to and end of the Service

Optlynx may change or end the Service. If we end it, we will tell you at least 30 days in advance.

15. Organized crime

You confirm that you are not, and have no ties with, organized crime groups.

16. Changes to these terms

Optlynx may change these terms. We will post the changes and their effective date on OPTLYNX.app, or notify you, before they take effect. If you keep using the Service after that date, you agree to the changes.

17. Governing law and court

These terms are governed by the laws of Japan. The Osaka District Court has exclusive jurisdiction in the first instance over any dispute about the Service.

This English version is provided for convenience. If it differs from the Japanese version, the Japanese version prevails.
